End User License Agreement

CAREFULLY READ THE FOLLOWING LICENSE AGREEMENT. BY ISSUING REQUESTS TO THE SERVICE, YOU ACCEPT AND AGREE TO BE BOUND BY THIS LICENSE AGREEMENT.

License Grant

"You" means the person or company who is being licensed to use the Application Programming Interface Service ("Service") or Documentation. "We," "us", and "our" means SoCo Technologies, Inc ("Company").

We hereby grant you a nonexclusive license to use the Service and its data, provided you agree to the terms set forth in this document. The Service is "in use" when you are transmitting requests for data, displaying its data on your Web site(s), and/or retaining its data in any form.

Things You Must Do

* You must present the Service data only on a transactional basis. You will not permit your users to access the Service data in bulk.
* You must limit Service calls to one thousand (1000) per day. Company may approve higher daily call limits if you adhere to these Service Terms of Use and pass an audit and review.
* You must prominently display the hyperlink(s) returned by the Service ("Hyperlink" or "Hyperlinks") next to any content derived from our data. (See Service documentation for guidance)

Things You May Not Do

* You may not retain any copies of the data. Your license to data is limited to making direct server calls to the Service for data and to distributing the data to your end user on your Web site(s), immediately upon receipt by your servers.
* You may not present the data (or permit the data to be presented) so that it appears to be available from a third party Web site.
* You may not use the data for direct marketing (i.e., mailing) or telemarketing lists.
* You may not separately extract and provide or otherwise use data elements from the data to enhance the data files of third parties.
* You may not block search engine robots from following the Hyperlinks returned by the Service.
* You may not disparage or permit your users to disparage the data which the Service provides.
* You may not reproduce, modify, distribute, decompile, disassemble or reverse engineer any portion of the Service or any data provided by Company.

Title

We remain the owner of all right, title and interest in the Service, its data, and related explanatory written materials ("Documentation").

Indemnity

You agree to defend, indemnify, and hold Company (and its officers, directors, employees and agents) harmless from and against any third party claims, actions or demands (including, without limitation, costs, damages and reasonable legal and accounting fees) alleging or resulting from or in connection with your use of the Service or your breach of this Agreement.

No Warranty

THE SERVICE IS PROVIDED "AS IS." LICENSOR DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO, ALL EXPRESS OR IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. LICENSOR ADDITIONALLY DISCLAIMS ALL OBLIGATIONS AND LIABILITIES FOR DAMAGES, INCLUDING BUT NOT LIMITED TO, SPECIAL, INDIRECT AND CONSEQUENTIAL DAMAGES, ATTORNEY FEES AND COURT COSTS ARISING FROM OR IN CONNECTION WITH THE USE OF THE SERVICE LICENSED UNDER THIS AGREEMENT.

SOME STATES DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU.

Term and Termination

This license agreement takes effect upon your use of the Service and remains effective until terminated.  You may terminate it at any time by discontinuing requests to the Service.  It will also automatically terminate if you fail to comply with any term or condition of this license agreement.

Governing Law, Jurisdiction, and Injunctive Relief

The Terms, and your relationship with Company under the Terms, will be governed by the laws of the State of Texas, USA, without regard to its conflict of laws provisions. You and Company agree to submit to the exclusive jurisdiction of the courts located in the County of Tarrant, Texas, USA, to resolve any legal matter arising from the Terms. Notwithstanding this, you agree that Company will be allowed to apply for injunctive remedies (or an equivalent type of urgent legal relief) in any jurisdiction.

Confidentiality

The Service contains trade secrets and proprietary know-how that belong to us and it is being made available to you in strict confidence. ANY USE OR DISCLOSURE OF THE SERVICE, OR OF ITS ALGORITHMS, PROTOCOLS OR INTERFACES, OTHER THAN IN STRICT ACCORDANCE WITH THIS LICENSE AGREEMENT, MAY BE ACTIONABLE AS A VIOLATION OF OUR TRADE SECRET RIGHTS.

Amendments

Company reserves the right to modify the terms and conditions of this Agreement or provide additional usage requirements or limitations in its sole discretion at any time by posting a revised version hereof on this Webpage or by otherwise making such revised terms available for your review. Any such modifications will supersede all prior versions after the revised version has been posted on this Webpage or otherwise made available as described above. Your continued use of the Service constitutes your agreement to any such revisions.
